Terms & conditions of sale

These terms apply to quotations, orders and sales of goods by EI Battery Solutions (EI Battery, we, us or our). EI Battery is a wholesale supplier and sells only to registered electrical contractors who hold the electrical, solar and battery licences and registrations required for the proposed purchase, handling and intended use of the goods. We do not sell goods to end users. By applying for an account, requesting a quote or placing an order, the applicant or purchaser (you or your) confirms that it is acting in a business capacity and is an eligible registered electrical contractor. You must provide current business, ABN and licence details when requested, and notify us if your eligibility or licence status changes. We may verify these details and decline, suspend or cancel an account or order if eligibility cannot be confirmed.

Account applications must include accurate business identity, ABN, contact and relevant licence information. An application is subject to approval by EI Battery; submission does not create an account or oblige us to supply goods. Account approval is not credit approval and does not create payment terms. You must keep account information accurate and secure and promptly tell us about changes.

Unless a quote states otherwise, prices are in Australian dollars and exclude GST, freight and other separately identified charges. A quotation is subject to its stated validity period and availability. If no validity period is stated, the quote remains open only until it is withdrawn or superseded by EI Battery. Prices may change before an order is accepted. The price for an order is the price confirmed by EI Battery when accepting that order.

GST is payable in addition to any quoted or advertised amount stated as excluding GST. Where a taxable supply is made, we will issue a tax invoice as required by law. If an amount is expressly stated to include GST, GST will not be added again.

Payment is cash only and is due in full as required when placing or collecting an order, as confirmed by EI Battery. We do not offer extended payment terms, credit or finance. Goods will not be released or dispatched until payment has been received in full. Any payment arrangement must be expressly confirmed by us in writing; no prior arrangement changes these terms for a later order.

An order is a request to purchase and is not accepted until EI Battery confirms acceptance, availability, price and applicable delivery or collection arrangements. We may decline an order where goods are unavailable, payment has not cleared, eligibility requirements are not met, or a material error affects the order. You are responsible for checking the order details, delivery address and product suitability before confirmation. Changes or cancellations after acceptance require our written agreement and may be subject to reasonable costs already incurred, to the extent permitted by law.

Goods are supplied for use by appropriately qualified and licensed professionals in accordance with applicable laws, standards and product instructions. EI Battery is a wholesale supplier only and does not provide installation services or maintenance packages. The purchaser is responsible for engaging appropriately licensed personnel for installation and related work.

All goods are stated to carry a 10-year warranty. Warranty enquiries and claims are handled through the registered electrical contractor that supplied or arranged the goods. Ask that contractor for the applicable warranty terms, scope, exclusions and claim process. This statement does not limit any rights or remedies that cannot lawfully be excluded, including applicable rights under the Australian Consumer Law.

All intellectual property in EI Battery materials, including our branding, website content, documents and product information created by us, remains with its owner. You may use supplied materials only as reasonably necessary to evaluate, purchase, promote or use the goods in your business, and must not remove ownership notices or represent our materials as your own. Third-party product names and materials remain the property of their respective owners.

To the maximum extent permitted by law, and subject to rights and guarantees that cannot be excluded, EI Battery is not liable for indirect or consequential loss, loss of profit, loss of opportunity or business interruption arising from a sale or use of goods. Where liability may lawfully be limited, our liability is limited, at our option, to resupplying or repairing the affected goods or paying the cost of doing so. Nothing in these terms excludes or restricts liability to the extent that exclusion or restriction is prohibited by law.

If a dispute arises, the parties will first try to resolve it through good-faith discussions. A party may give written notice describing the dispute and the outcome sought. If the dispute is not resolved within a reasonable time, either party may pursue any available legal remedy. Nothing in this clause prevents urgent court relief or limits non-excludable rights.

We may update these terms for future orders by publishing a revised version or providing written notice. The terms applying to an accepted order are those agreed for that order, except where a change is required by law or agreed in writing by both parties.

These terms are governed by the laws of New South Wales, Australia, and the parties submit to the non-exclusive jurisdiction of its courts and tribunals. If any provision is invalid or unenforceable, it is severed to the minimum extent necessary and the remaining provisions continue. A failure or delay in exercising a right is not a waiver. These terms and the accepted order form the agreement for the relevant sale and replace prior discussions about that sale. Notices may be sent to the contact details provided for the account or order. Rights that cannot be excluded by law are not affected.
